SecurCapital Corp has acquired the lending business of Breakout Capital Finance.

Breakout was founded in 2015 by Carl Fairbank, a former investment banker, and quickly made a splash in the burgeoning small business lending industry. The company has raised significant capital and is a principal member of Innovative Lending Platform Association (ILPA), a trade group that among other things, created SMART Box, a uniform loan disclosure meant to enhance transparency across the industry.

Earlier this year, however, the company suspended originations.

But that’s poised to change. The deal with SecurCapital, a supply chain and financial service provider headquartered in California, means that Breakout is on track to resume originations as early as next week, according to the company. And there’s other changes afoot.

Tim Buzby, who previously served as the company’s CFO is now the President & CEO. Buzby is well primed for the job. He’s a former CEO of Farmer Mac, a company he spent 17 years with.

Carl Fairbank, who previously served as CEO of the lending business, will provide strategic guidance during the transition, the company reports. He will no longer have a day-to-day role.

“After four years as Founder and CEO of Breakout Capital Finance, this transaction begins the next chapter of Breakout Capital’s lending business,” Fairbank is quoted as saying in a company announcement. “SecurCapital is also committed to the proliferation of best practices to drive change in the broader market. I believe Breakout Capital, in partnership with SecurCapital, is now well positioned for substantial growth, especially with its commitment to FactorAdvantage.”

Fairbank is reportedly shifting his focus toward driving innovation in artificial intelligence, machine learning, and blockchain.

Breakout Capital has also hired McLean Wilson, former CEO of Charleston Capital (fka Drift Capital Partners), an asset manager in the SME space, and former CEO of inFactor, a factoring company, as Chief Credit Officer.

In an interview with Breakout’s new CEO Tim Buzby and VP Jay Bhatt (who has been with the company since the very beginning), they said that the company’s risk criteria and credit box will remain the same as it was previously, with potential to even expand it down the road. The company pressing the originations pause button from approximately February to July, therefore, shouldn’t be interpreted as a weakness of the company’s business model. Rather the acquisition and changes should suggest the opposite.

Buzby confirmed that operations will resume as normal. The business address and business name will remain the same with one notable difference; That being that the name has been shortened from Breakout Capital Finance to Breakout Capital. It’s also now being operated by a subsidiary of SecurCapital.

What Will Happen to HomeZen After the Breakout Capital Deal?

HomeZenWith today’s announcement of Breakout Capital Finance’s acquisition of HomeZen’s technology, deBanked wondered what will happen to HomeZen after the acquisition of its technology.

HomeZen’s co-founder and Head of Technology Mike Spainhower will work with Breakout Capital to help integrate the HomeZen technology into Breakout Capital’s system, Breakout Capital Chief Operating Officer Mendelsohn told deBanked. But Spainhower will not be joining Breakout Capital as an employee, nor will any other former HomeZen employees. HomeZen will still service its existing clients, but will no longer seek additional clients or operate under the HomeZen name. HomeZen, which provided software tools for home sellers to more efficiently sell their homes, was founded in 2016 in the Washington D.C. area.

Mendelsohn said that prior to this acquisition, BreakOut Capital founder and CEO Carl Fairbank and HomeZen co-founder and CEO Kevin Bennett knew each other as part of the Washington D.C.-area tech community.

The HomeZen website is currently down, which is not an error. Mendelsohn said that the transaction between the two companies meant that HomeZen would cease offering its technology, and website, to new customers.  

While Mendelsohn acknowledged the real estate technology company Zillow as a potential competitor of HomeZen, he said that HomeZen’s offering was quite uncommon.

“They were pretty unique in offering sellers a suite of [real estate] tools to do it themselves really be empowered to direct the sales process yourself.”

Breakout Capital has grown its loan originations throughout the year and also obtained a $15 million facility at the end of May that has allowed it to build out a factoring product, called FactorAdvantage.

Of the acquisition, Mendelsohn said:

“You have to take the long view with this and say ‘They’re serving real estate sellers, we’re serving small business owners.’ This may seem a little discontinuous, but what they’re doing is the same thing we’re doing. They’re providing great tools, calculators and other ways to evaluate offers. And that’s exactly what we do. This will allow us to give our applicants and borrowers access to that high quality experience.”

$15 Million Facility Allows for Growth of Breakout Capital Factoring Program

Breakout Capital announced that it obtained a $15 million facility on Wednesday, with a fund managed by Medalist Partners. While the facility is not earmarked for any single product, Chief Marketing and Sales Officer James Mendelsohn told deBanked that the facility will certainly help fund the company’s relatively new and popular FactorAdvantage product.

“With the [FactorAdvantage] program, we work in concert with the factor and the small business to maximize the small business’s access to capital,” Mendelsohn said. “We work with factors to enable a factoring relationship with a small business.”

Introduced in January of this year, Mendelsohn said that the FactorAdvantage program generally works in one of two ways, depending on the client. If the client is new to a factoring company and the client has a tax lien or something that prevents the factor from working with that client, FactorAdvantage will come in and help finance a consolidation or whatever it is to prepare the client to work with the factor.

The other common use of the FactorAdvantage product is for existing clients of the factoring company that want access to more capital. Factors will sometimes provide additional capital in what is called an overadvance. But when the factor is not able to, or not able to provide enough capital, FactorAdvantage will provide that additional capital.

“The access to more capital [will allow] us to grow,” Mendelsohn said. “We’ve had February, March, April and now May – each month, we’ve broken our own record for origination volume. We want to break that record every month going forward, so this [facility] will help us have plenty of dry powder.”

Mendelsohn also said that a boon of the FactorAdvantage program is that “the tickets are much bigger.” The maximum financing on Breakout Capital’s other products is $250,000, while the maximum for the FactorAdvantage product is $500,000. Breakout Capital was founded in May of 2015 and also provides Business loans, SBA loans, Lines of credit, Equipment leasing and Merchant cash advance, among other financing products. The bulk of the company’s volume comes from their distribution partners, including brokers, ISOs, and more recently, factoring companies.

Based in McLean, VA, Breakout Capital employs almost 50 people.
