Something happened I guess it 95 00:05:45.410 --> 00:05:47.450 ended up in breach of contract or there was a confession of 96 00:05:47.450 --> 00:05:51.860 judgment filed or something. And then the merchant then tried to 97 00:05:52.130 --> 00:05:55.460 have the confession of judgment vacated by arguing that the 98 00:05:55.460 --> 00:05:59.060 underlying agreement, the MCA agreement, was really a usurious 99 00:05:59.210 --> 00:06:02.900 loan, and not really a purchase and sale of future receivables. 100 00:06:03.170 --> 00:06:06.680 And so they sued and say, you have to vacate this confession 101 00:06:06.680 --> 00:06:09.170 of judgment because the underlying transaction was 102 00:06:09.200 --> 00:06:13.790 illegal. Well, the court disagreed, and that's because 103 00:06:13.820 --> 00:06:18.260 it's pretty, pretty well recognized that MCAs are legal 104 00:06:18.260 --> 00:06:21.320 and valid and acknowledged in the state of New York. In fact, 105 00:06:21.320 --> 00:06:23.480 there's already an Appellate Decision that came out about 106 00:06:23.480 --> 00:06:26.270 three years ago, out of the first department that said they 107 00:06:26.270 --> 00:06:29.630 are something called Champion Auto, here's where it gets a 108 00:06:29.630 --> 00:06:32.990 little confusing or tricky is that the first department really 109 00:06:32.990 --> 00:06:35.840 only covers Manhattan and the Bronx. And there are four 110 00:06:35.840 --> 00:06:40.160 departments to my non lawyer understanding in the state, and 111 00:06:40.160 --> 00:06:43.490 you could potentially have a disagreement across departments. 112 00:06:43.730 --> 00:06:46.460 So here we have a usery issue going through the fourth 113 00:06:46.460 --> 00:06:48.980 department, when we already know what the answer was in the first 114 00:06:48.980 --> 00:06:53.240 department. You know, I guess you could say that the the MCA 115 00:06:53.240 --> 00:06:55.580 company was feeling rather confident about their position. 116 00:06:55.610 --> 00:06:58.640 However, everyone who was in the know was kind of standing on 117 00:06:58.640 --> 00:07:01.520 edge to find out which way this would go. Because if there was a 118 00:07:01.520 --> 00:07:05.390 split, it would be very bad for the original for the original 119 00:07:05.390 --> 00:07:11.030 ruling in Champion Auto. So the good news is it went in favor of 120 00:07:11.030 --> 00:07:15.200 the funding company. The court, the Appellate Division in the 121 00:07:15.200 --> 00:07:21.680 fourth department, upheld the original decision issued in 122 00:07:21.680 --> 00:07:24.530 favor of the MCA company. And one of the most important things 123 00:07:24.530 --> 00:07:28.280 to recognize and what they upheld and affirm is that the 124 00:07:28.280 --> 00:07:32.600 plaintiffs meaning the merchant that they were they were barred 125 00:07:32.600 --> 00:07:38.060 by documentary evidence, meaning the MCA agreement kind of went 126 00:07:38.060 --> 00:07:40.340 against what their arguments were saying. It's saying it's 127 00:07:40.340 --> 00:07:43.580 not a loan it's a purchase in sale of future receivables. And 128 00:07:43.580 --> 00:07:45.800 so the the plaintiff can't claim that it was something else 129 00:07:45.800 --> 00:07:48.800 because the contract says exactly the opposite of what 130 00:07:48.800 --> 00:07:53.750 they were arguing. And the court upheld by affirming the original 131 00:07:53.750 --> 00:07:58.100 decision that it's settled. It's settled law in New York. And it 132 00:07:58.430 --> 00:08:00.410 holding that the parties underlying agreement was not a 133 00:08:00.410 --> 00:08:03.380 usurious loan, they came to the conclusion that it is already 134 00:08:03.380 --> 00:08:07.100 settled law, there's no debate as to whether or not an MCA is a 135 00:08:07.100 --> 00:08:11.330 usurious loan in New York. It's settled law, it's acceptable, 136 00:08:11.360 --> 00:08:14.570 it's legal, it's valid, you know I guess you could say that they 137 00:08:14.570 --> 00:08:17.390 were not moved by any of the arguments made by the 138 00:08:17.390 --> 00:08:20.450 plaintiffs, because it's settled law. So now the first department and the fourth 140 00:08:22.910 --> 00:08:25.970 department, two very big departments out of the four in 141 00:08:25.970 --> 00:08:30.710 New York State have concluded MCA is our legal they're not 142 00:08:30.710 --> 00:08:34.400 usurious loans. There's a very 158 00:09:25.370 --> 00:09:28.910 specific reason why they're recognized as legal.
